Finance
We act for many major Pakistani and foreign banks working in Pakistan. We prepare and review security documentation (charges, guarantees and ancillary documents). Our practice also includes advice on the formulation and implementation of credit card/debit card schemes, retail banking, consumer credit and micro finance.
Islamic Finance
The firm has undertaken considerable work in the area of Islamic finance. The firm has advised on majority of the transactions undertaken in Pakistan based on the principles of Islamic law. We have advised on some of the pioneering work in the field of Islamic bonds and long-term financing facilities.
Firm’s senior partner has also acted as member of the Committee on Development of Financial Instruments and Standardized Documents for Islamic Finance. The Committee was set up by the Central Bank as part of an initiative to develop Islamic finance in the country.

The firm has a significant presence in the capital markets. We are regularly advising the capital market participants including Karachi Stock Exchange, Central Depository Company of Pakistan and National Clearing Company of Pakistan.
The firm has recently prepared the regulatory and operational legal framework for introducing continuous funding system in the capital markets in Pakistan.

We have acted for local and foreign clients, in the acquisitions and mergers of various insurance and telecommunication companies.
Our scope of work in such transactions includes, the due diligence of the target entity, advising on the structure, negotiating the terms of the transaction and advising clients on the pre and post transaction compliance requirements.
We also draft and plead pre-merger and merger petitions before the regulators and superior courts in Pakistan.

We advise investment funds, such as unit trust, investment trust, mutual funds and the companies offering investment-linked insurance policies.
Business Transactions & Corporate Advice
In addition to routine advice on the formation and conduct of companies, joint ventures and partnerships, the firm is engaged in major transactional work. This includes the purchase, sale and financing of companies and businesses and development capital projects well as corporate re-organization.

We advise on issues relating to oil, gas and mineral exploration as well as development projects with particular emphasis on power generation and distribution of electricity. Our team deals with the contracts for the sale and purchase of oil and refined products, chemicals, metals and agricultural products. We act in the establishment of insurance and related businesses including obtaining any necessary authorizations and registrations.
We have advised on establishment of the first dedicated health care insurance company in Pakistan, which is also a first managed care organization in Pakistan.
Intellectual Property
Our service includes advice on the registration and protection and assignments (sometimes as part of a corporate takeover or restructuring) of trademarks, patents, copyrights, and registered designs. We are currently advising on convergence of technology issues relating to mobile television and mobile banking.
We have expertise in negotiating and drafting contracts with various telecom operators and service providers regarding the telecom services including the infrastructure contracts, IRU agreements, interconnect agreements, franchise agreements, vendor financing documentation etc. We are also dealing with various regulatory issues and have also advised our client(s) on the APC regime.
